Acceptance of these Terms
These Terms of Service govern access to and use of Connect by JBRH (“Connect”), a business relationship and communications operating system operated by JBRH Digital Solutions (Private Limited). By creating an account, accessing a workspace, connecting a communication account, using Connect on behalf of an organization, or otherwise using the service, you agree to these Terms. If you use Connect for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the service.

Business service and eligibility
Connect is intended for legitimate business and professional use. An individual creating or administering an account must be at least 18 years old and legally able to enter into these Terms. Connect is not designed as a consumer service directed to children. You are responsible for ensuring that your organization’s use of Connect is lawful in the places where you operate.

What Connect provides
Connect provides software and related services for business relationship operations, including selected combinations of conversations, prospect workflows, sales follow-up, connected mailboxes and communication channels, Knowledge, Rules, human-review workflows such as Needs You, activity records, account controls, usage and billing features, and other features made available from time to time. Features may differ by plan, configuration, region, connected provider or release stage.

Accounts, sign-in and account security
You must provide accurate account information and keep authentication methods secure. You are responsible for activity performed through authorized accounts and for promptly notifying us if you reasonably believe an account or connected service has been compromised. Connect may use Google or other supported identity providers for sign-in. Authentication with a third party does not transfer ownership of that third-party account to Connect.

Connected mailboxes and third-party accounts
When you connect Gmail, Microsoft 365, an IMAP/SMTP mailbox, or another supported service, you authorize Connect to use the permissions you approve for the functions you select. You remain responsible for the underlying third-party account, its terms, administrator permissions and lawful use. You can disconnect supported accounts through available product controls; disconnecting an account may be different from deleting information already synchronized into a Connect workspace.

Your instructions, automation and human review
Connect can act according to workspace settings, Rules, approved Knowledge, plan controls and user instructions. Some actions may operate automatically when enabled; others may stop for human review through controls such as Needs You, review mode or an emergency stop. You are responsible for configuring authority levels appropriate to your business and for reviewing consequential actions where human approval is required or prudent.

Customer content and business data
You retain your rights in information you submit, upload, connect or otherwise make available to Connect, including business contacts, messages, files, Knowledge and instructions. You grant us the limited rights necessary to host, process, transmit, transform and secure that information in order to provide the service, comply with your instructions, maintain the service and meet legal obligations. We do not obtain ownership of your customer content merely because you use Connect.

Prospects, contacts and lawful outreach
Connect may support customer-provided or lawfully sourced business prospect and contact information. You are responsible for having a lawful basis for collecting, importing, enriching, contacting and retaining people or organizations through your workspace. You must honor applicable opt-outs, do-not-contact requests, suppression requirements and communication laws. Connect must not be used to conceal identity, mislead recipients, send unlawful spam or evade provider or legal restrictions.

Knowledge and uploaded materials
You are responsible for ensuring that you have the rights and permissions needed to upload files, URLs, text, images or other material to Knowledge. Do not upload material that unlawfully infringes intellectual-property, confidentiality, privacy or contractual rights. Connect may create derived representations such as extracted text, summaries, chunks or embeddings to provide selected Knowledge features.

Acceptable use
You may not use Connect to violate law; infringe rights; distribute malware; facilitate fraud, phishing or deception; impersonate others without authority; unlawfully discriminate; harass or threaten; bypass security; interfere with the service; obtain unauthorized access; scrape or probe systems in a prohibited manner; send unlawful unsolicited communications; or use Connect in a way that materially harms Connect, JBRH, customers, providers or third parties.

Email, messaging, calling and communications compliance
If you use Connect for email, messaging, calling or other communications, you are responsible for sender identity, consent where required, opt-out handling, calling or messaging time restrictions, marketing rules, telecom requirements, anti-spam requirements, industry-specific rules and any registration obligations that apply to your organization. Availability of a feature does not mean that every use of that feature is lawful in every jurisdiction.

Cira and pre-sales enquiries
Cira is Connect’s business solutions advisor for enquiries, demonstrations, technical-fit discussions, trial interest, quotation requests and related business contact. Information submitted to Cira must be accurate and may be used to respond to the request. Optional marketing choice is separate from the information needed to answer an enquiry.

Third-party providers and integrations
Connect relies on selected infrastructure, identity, communications, payment and other technology providers. Third-party services may have their own terms, policies, availability, limits and processing practices. We are not responsible for a third party’s independent service outside our control. Where Connect processes information through a provider on your behalf, our Privacy Center explains the relevant data-handling framework and verified production use.

Trials, previews and evolving features
Trials, previews, beta capabilities, early-access functions or limited-release features may have usage, mailbox, communication, storage or other restrictions. They may change, be suspended or end. Unless a written order states otherwise, preview features are provided for evaluation and may not carry the same availability commitments as generally released paid functionality.

Fees, plans, taxes and payment
Fees, plan limits, usage charges, setup charges, taxes and payment terms are those shown in the applicable quote, order, account area, invoice or written commercial agreement. You authorize collection through the agreed payment method where applicable. You are responsible for applicable taxes except taxes imposed on our income. Failure to pay undisputed amounts when due may result in restricted access or suspension after any required notice.

Cancellations, refunds and billing disputes
Cancellation and refund rights depend on the applicable order, plan, service stage, work already performed and mandatory law. Unless a written order states a broader right, payments already earned for completed setup, consumed usage or delivered service are not automatically refundable. Nothing in these Terms removes a refund, cancellation or consumer right that cannot legally be excluded. Billing questions should be raised promptly through the support contact below.

Connect intellectual property
Connect, its software, interface, documentation, branding, workflows, designs and related intellectual property are owned by or licensed to JBRH except for customer content and third-party materials. These Terms give you a limited, non-exclusive, non-transferable right to use Connect during your authorized access. They do not transfer ownership of Connect technology or branding.

Feedback
If you voluntarily provide suggestions or feedback about Connect, you allow us to use that feedback to improve or develop the service without an obligation to compensate you, provided we do not treat your confidential customer content as public feedback.

Confidential information
Each party should protect non-public information received from the other that is reasonably understood to be confidential and use it only for the relationship or as otherwise authorized. Confidentiality obligations do not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source. Disclosure may be made where required by law, subject to legally permitted notice where appropriate.

Privacy and data protection
Our
Privacy Center explains how Connect handles information. Customers remain responsible for their own privacy notices, lawful bases, instructions and rights obligations for business data they control. Where JBRH processes customer-controlled information to provide Connect, the parties’ respective legal roles depend on the data and context. Additional data-processing terms may apply where agreed or legally required.

Security
We use technical and organizational safeguards designed for the service, including authenticated access boundaries, tenant isolation controls and protected handling of sensitive credentials. No online system can promise absolute security. You must use reasonable security practices, limit administrator access, maintain endpoint security and promptly report suspected compromise.

Availability, maintenance and service changes
We work to provide a reliable service but do not promise uninterrupted or error-free operation. Maintenance, provider outages, internet conditions, security events, legal requirements, abuse prevention or technical changes can affect availability. We may modify or discontinue features, and where a material change adversely affects a paid service we will provide notice where reasonably practicable or required by the applicable agreement.

Suspension and protective actions
We may restrict or suspend access where reasonably necessary to address security risk, unlawful use, material breach, provider restrictions, non-payment, abuse, threats to other customers or infrastructure, or legal requirements. Where appropriate and legally permitted, we will try to provide notice and an opportunity to resolve the issue.

Service disclaimers
Connect assists business operations but does not replace professional legal, tax, financial, medical or regulatory advice. You remain responsible for business decisions, approvals, communications and compliance. Except to the extent prohibited by law or expressly stated in a written agreement, the service is provided on an “as available” basis and implied warranties are excluded to the maximum extent permitted by applicable law.

Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary or consequential damages, or for lost profits, revenue, goodwill or business opportunity arising from these Terms, except where such exclusion is not legally permitted. Any monetary liability cap stated in an applicable signed order or commercial agreement controls for that order. Where no separate cap is agreed, liability will be limited to the maximum extent permitted under applicable law rather than by an invented amount in these public Terms.

Responsibility for unlawful customer use
To the extent permitted by law, you are responsible for claims arising from your unlawful use of Connect, customer content you lacked the right to provide, unlawful outreach or instructions, or a material breach of these Terms. This section does not require indemnification to the extent a claim was caused by JBRH’s own unlawful conduct or where applicable law prohibits such allocation.

Termination and account closure
You may stop using Connect and request account closure subject to outstanding commercial obligations, lawful retention requirements and the technical distinction between disconnecting providers and deleting previously synchronized data. We may terminate access for material uncured breach, unlawful use, serious security risk or as otherwise allowed by the applicable agreement or law. Provisions that by their nature should survive termination—including ownership, confidentiality, accrued payment obligations, lawful retention, disclaimers and liability terms—continue as applicable.

Governing law and disputes
These Terms are governed by the laws of India, without applying conflict-of-law rules that would require another jurisdiction’s law, subject to mandatory rights that cannot be excluded. Unless a mandatory law requires another forum or a signed agreement states otherwise, courts with jurisdiction in Hyderabad, India will have jurisdiction over disputes relating to these Terms. Before formal proceedings, the parties should make a reasonable good-faith effort to resolve a dispute through the contacts below.

Electronic communications and notices
You agree that account notices, service notices, legal notices and other communications may be provided electronically where permitted, including through the service or email associated with the account. You are responsible for keeping administrative contact details current.

Changes to these Terms
We may update these Terms when the service, law or commercial model changes. The effective date will be updated. Where an update materially changes customer rights or obligations, we will provide notice where reasonably practicable or legally required. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.
